SERVICE AGREEMENT
This Service Agreement (“Agreement”) is made and entered into by and between LHR WP Solutions (“Company”, “We”, “Us”, “Our”) and the client (“Client”, “You”, “Your”) for the provision of digital services as agreed between both parties.
By engaging our services, the Client agrees to be bound by the terms and conditions outlined in this Agreement.
1. Scope of Services
The Company agrees to provide digital services which may include, but are not limited to:
- Website Design and Development
- UX/UI Design
- Web Application Development
- Software Development
- Maintenance and Support Services
- Other related digital solutions as mutually agreed
The exact scope, deliverables, and specifications will be defined in the project proposal, quotation, or written communication approved by the Client.
2. Project Commencement
Work on any project will commence only after:
- Receipt of agreed initial payment or deposit, and
- Final approval of project requirements by the Client
Delays in approvals or payments may result in project delays without liability to the Company.
3. Payment Terms
- All payments shall be made as per the agreed pricing structure.
- An advance payment may be required before project initiation.
- Final deliverables may be withheld until full payment is received.
- Late payments may result in suspension or termination of services.
4. Client Responsibilities
The Client agrees to:
- Provide accurate and complete project requirements
- Supply content, images, and necessary materials on time
- Respond to approvals and feedback within a reasonable timeframe
- Ensure all provided materials do not infringe on third-party rights
Delays caused by the Client may affect delivery timelines.
5. Revisions and Changes
- Reasonable revisions are included as per project agreement.
- Any additional changes beyond the agreed scope will be treated as new requirements and may incur additional charges.
- Significant modifications may require revised timelines and costs.
6. Delivery Timeline
The Company will make reasonable efforts to deliver the project within the estimated timeframe. However, timelines may vary depending on project complexity, revisions, and client responsiveness.
7. Intellectual Property Rights
- Upon full and final payment, ownership of the final deliverables will be transferred to the Client.
- The Company reserves the right to display completed work in its portfolio, unless otherwise agreed in writing.
- Third-party assets remain subject to their respective licenses.
8. Confidentiality
Both parties agree to maintain confidentiality regarding any sensitive business, technical, or project-related information shared during the engagement.
9. Termination
This Agreement may be terminated under the following conditions:
- Mutual written agreement between both parties
- Failure to comply with payment terms
- Violation of Agreement terms by either party
In case of termination, the Client shall pay for all work completed up to the termination date.
10. Limitation of Liability
The Company shall not be held liable for any indirect, incidental, or consequential damages arising from the use or inability to use the delivered services. The Company’s total liability shall not exceed the amount paid by the Client for the specific service.
11. Third-Party Services
The Company may use third-party tools, plugins, or services. The Company is not responsible for issues arising from third-party providers including downtime, changes, or policy updates.
12. Governing Law
This Agreement shall be governed and interpreted in accordance with applicable laws of the jurisdiction in which the Company operates, without regard to conflict of law principles.
13. Amendments
The Company reserves the right to update or modify this Agreement at any time. Any changes will be communicated through official channels or updated on the website.
14. Acceptance
By using our services, making payments, or engaging in a project with LHR WP Solutions, the Client acknowledges that they have read, understood, and agreed to this Service Agreement.
